Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of the CommandLot website at commandlot.com and application at app.commandlot.com (together, the "Service"), operated by George Boulos, a sole proprietor doing business as CommandLot ("CommandLot," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. The service

CommandLot is a dealership operations platform that helps businesses manage social media, SEO, pricing, F&I, commissions, reporting, online reputation, and analytics. Features may be added, changed, or removed over time. We may also set limits on certain features or restrict access without prior notice.

3. Accounts & eligibility

• You must be at least 18 years old and able to form a binding contract to use the Service.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You agree to provide accurate information and to keep it up to date.
• Notify us promptly of any unauthorized use of your account.

4. Connected accounts & third-party platforms

The Service lets you connect third-party accounts, including Meta (Facebook and Instagram) and Google (Business Profile and Analytics). When you connect an account, you authorize CommandLot to access and act on that account as permitted by the scopes you approve.

• Your use of each connected platform remains subject to that platform's own terms and policies, including the Meta Terms and Google Terms.
• You represent that you have the right and authority to connect each account and to publish or manage content through it.
• You can disconnect any account at any time from the Connections page; doing so revokes CommandLot's access.
• We are not responsible for the availability, accuracy, or policies of third-party platforms, or for changes they make to their APIs.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful, fraudulent, deceptive, or harmful purpose.
• Publish content that is illegal, infringing, defamatory, misleading, or that violates any platform's policies.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Interfere with or disrupt the Service, or introduce malware or harmful code.
• Reverse engineer, resell, or misuse the Service except as expressly permitted.
• Violate the terms or rights of any third-party platform you connect.

6. Your content

You retain ownership of the content you create, upload, or manage through the Service ("Your Content"). You grant CommandLot a limited, non-exclusive license to host, process, and transmit Your Content solely to operate and provide the Service, including publishing it to platforms you direct. You are solely responsible for Your Content and for ensuring you have the necessary rights to it.

7. Intellectual property

The Service, including its software, design, text, and branding (excluding Your Content and third-party materials), is owned by CommandLot and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No rights are granted except as expressly stated.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that results obtained through it will be accurate or reliable.

9. Limitation of liability

To the maximum extent permitted by law, CommandLot and George Boulos will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the claim, or one hundred U.S. dollars ($100) if you paid nothing.

10. Indemnification

You agree to indemnify and hold harmless CommandLot and George Boulos from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, your violation of these Terms, or your violation of any third-party rights or platform policies.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends, and we will handle your data as described in our Privacy Policy.

12. Governing law

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Washington for any dispute arising from these Terms or the Service.

13. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
